1. General
1.1 Two Dots Productions (“TDP”) is an event management and staffing agency. This Terms of Use Agreement ("Agreement") sets forth the legally binding terms for your use of Two Dots Productions’ Website (“Website”). By using this Website, you agree to be bound by this Agreement, whether you are a "Visitor" (which means that you simply browse the Website and use the Website without a Staff Profile account) or you are a "Talent" (which means that you have setup a Staff Profile account). The term "User" refers to a Visitor or a Talent. You are only authorized to use the Website (regardless of whether your access or use is intended) if you agree to abide by the terms of this Agreement. If you do not agree to be bound by this Agreement, you should leave the Website.
1.2 TDP may modify this Agreement from time to time and such modification shall be effective upon posting on Website. Your continued use of the Website after TDP posts a revised Agreement signifies your acceptance of the revised Agreement. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes.
2. Talent’s Staff Profile
2.1 Your Staff Profile may not include any form of Prohibited Content, as outlined in Section 4 below. Despite this prohibition, information and materials provided by other Talent in their Staff Profile may, in whole or in part, be unauthorized, impermissible or otherwise violate this Agreement, and TDP assumes no responsibility or liability for this material. 2.2 TDP reserves the right, in its sole discretion, to reject, refuse to publish, to remove your Staff Profile, or to deny Talent’s access to their Staff Profile at any time, for any or no reason, with or without prior notice or explanation, and without liability. TDP expressly reserves the right to remove your Staff Profile or terminate your access to your Staff Profile if TDP determines, in its sole discretion, that you have violated this Agreement.
2.3 When you setup a Staff Profile, you will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree to notify TDP immediately if you suspect any unauthorized use of your Staff Profile or access to your password.
3. Proprietary Rights in Content on Website
3.1 Users of Website who submit Staff Profiles into TDP’s staffing database give consent to TDP to use his/her first name, photograph(s) and interested jobs listing on Website’s View Our Staff section. In addition, TDP may share Talent’s name, photograph and other information provided to TDP clients or potential clients for sole purpose of securing assignments for Talent. Talent understands that they can request to have their profiles “unpublished” on the Website by emailing
staffing@twodotsproductions.com with this request.
3.2 TDP does not claim any ownership rights in the text, files, images, photos, or any other materials (collectively, "Content") that you submit on this Website. By publishing any Content on the Website, you hereby grant TDP a limited license to use, modify, delete from, add to, publicly display, and distribute such Content solely through TDP, including without limitation distributing part or all of the Website in any media formats and through any media channels, except Content requested to be “unpublished” prior to distribution.
3.3 You represent and warrant that the posting of your Content on the Website does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. You agree to pay for any royalties, fees, and any other monies owing any person or entity by reason of any Content posted by you on or through the Website.
3.4 Prohibited Content includes, but is not limited to, Content that contains nudity, excessive violence, or offensive subject matter. Staff Profiles with prohibitive Content, at the sole discretion of TDP, may be removed, deleted, or unpublished by TDP.
4. Data Protection
4.1 TDP’s use of personal information supplied by the user when using this Website is also governed by our
Privacy Policy, which is incorporated into this Agreement by this reference.
5. Copyright
5.1 TDP grants users a non-exclusive license to access and use the content in this Website for your personal purposes. You may not reproduce or distribute any part of the content for commercial purposes. No part of this Website or any content appearing on the Website may be reproduced, stored in or transmitted on any other website without written permission of TDP.
5.2 You acknowledge that the copyright and all other intellectual property rights, including but not limited to trademarks, service marks, and logos, comprised in or relating to this Website and the data it contains, belongs to TDP. You are not permitted to use or reproduce these copyrights and intellectual property rights for any reason. Note that some content may belong to the respective owners such as profile photographs, images and graphics.
6. Disclaimer
6.1 TDP does not give any warranty or other assurance as to the operation, quality or functionality of the site. Access to the site may be interrupted, restricted or delayed for any reason. TDP also does not give any warranty or other assurance as to the content of the material appearing on the site, its accuracy, completeness or timelessness for any particular purpose.
6.2 To the full extent permissible by law, TDP disclaims all responsibility for any damages or losses (including, without limitation, financial loss, damages for loss in business projects, loss of profits or other consequential losses) arising in contract, tort or otherwise from the use of or inability to use the Website or any other hyperlinked external website, or from any action or decision taken as a result of using Website or any such material.
6.3 Website may contain links to hyperlinked external websites. TDP is not responsible for and has no control over the content of such external websites.
